Description/Abstract
This work is a comprehensive account of the new company law landscape forged by the Companies Act 2006 which came fully into force on 1 October 2009.
The work is divided into five major sections: on coporate structure, directors' roles and responsibilities, shareholders' rights and remedies, corporate finance and corporate rescue and restructuring.
This work provides comprehensive coverage of the new legislation including, in particular, in-depth analysis of the fundamentally altered directors' duties, a detailed review of shareholders' rights and remedies and an accessible and contextual account of corporate finance and the rules of capital maintenance
