An exploration of the efficacy of audit committees in public companies, this Chapter considers the composition and role of the committee and examines its wide-ranging responsibilities which now make it a key component of good corporate governance. These developments raise question marks about the competency of the committee, its relationship to the unitary board, and the shareholders, and ultimately about the value which the audit committee brings to the standards of corporate governance in a company.
