Shareholder inspection rights in the UK: hotchpotch provision and information deficits

Shareholder inspection rights in the UK: hotchpotch provision and information deficits
Shareholder inspection rights in the UK: hotchpotch provision and information deficits
An assessment of the extent to which English company law supports shareholder inspection rights, considering the hotchpotch of statutory measures strewn across the main companies legislation, the Companies Act 2006, hoping to identify any discernible, underlying, policy rationale. The question is whether such inspection rights address effectively what we can take to be core shareholder concerns, namely investment protection, agency control (as in the director/shareholder dynamic) and oppression risk (as in the majority/minority shareholder dynamic).

Abstract

An assessment of the extent to which English company law supports shareholder inspection rights, considering the hotchpotch of statutory measures strewn across the main companies legislation, the Companies Act 2006, hoping to identify any discernible, underlying, policy rationale. The question is whether such inspection rights address effectively what we can take to be core shareholder concerns, namely investment protection, agency control (as in the director/shareholder dynamic) and oppression risk (as in the majority/minority shareholder dynamic).
