Because of their general characteristics, join stock companies are managed by the majority (TCL a. 418, 421). In order to protect minority from the majority, minority has some rights with (TCL a. 411, 412, 420, 439, 440, 531 and 559) or without (TCL a. 486/3) proportion about subjects which is important to the legislator (TCL a. 360). These rights are examined by the doctrine as positive and negative minority rights. The “request” of the minority, regulated in Article 377 of the Old Turkish Commercial Code and Article 420 of the New Turkish Commercial Code for deferring discussion of financial statements and related issues are an important right granted to minorities and also frequently applied by the minority. We will try to explain the historical development, function, elements of the right and the second deferring of the provision by using the Supreme Court’s decision and the doctrine’s opinions.
